Why not just do an M50/52 conversion? Once you start pulling engines apart ive always found that theres always extra things that end up getting replaced and never turns out as straight forward as it sounds... And 24 valves are always going to be better then 12. More power and better fuel economy

Maybe it would be an idea to put a standard flywheel back in to see if that fixes the problem. I had a similar problem on my race car and it turned out to be the starter solinoid, but i doubt that would be the case in your situation

All 323i have a getrag 260. But the 240 should bolt up and it doesnt matter if it a f/l or pre/fl gearbox because it dosnt have the flywheel sensors.

Don’t know how major this is, although E34’s don’t tend to have rust problems [crosses fingers]; *It hasn't moved any significant distance in about a year; *Oh, and did I mention I bought it without checking it over? I figured for $1500... Mate It wouldnt be worth it to fix it up. If a cars got rust then you will just keep finding more and more. Just buy a mint 535, there cheap as chips anyway.
